Integrated Tier-1 and managed IT web hosting solutions firm, Terremark, has entered into a definitive agreement, to acquire enterprise-class hosting solutions firm, Data Return, from Saratoga Partners.
Terremark will acquire Data Return for $85 million consisting of $70 million in cash and $15 million in Terremark stock valued at the closing price on May 11, 2007. The acquisition is expected to close in Terremark’s fiscal 2008 Q1, ended June 30.
The acquisition is anticipated to lead Terremark into the forefront of virtualization and utility computing. Manuel D. Data Return has over 250 customers primarily located throughout the United States and include H and R Block, BMW North America, HP and LEGO. For the calendar year 2006, Data Return had revenues of approximately $55 million. Once closed, the transaction is expected to be accretive to Terremark’s EBITDA. The company will provide additional financial details, and update its guidance for its fiscal year ending March 31, 2008, on its regular quarterly earnings conference call.
